What does the advisory board do?

The tasks of Verbundgesellschaft VRS GmbH are defined in the articles of association. This agreement stipulates, among other things, that VRS GmbH has four so-called organs:

  1. the shareholders' meeting,
  2. the Supervisory Board
  3. the management and
  4. the Advisory Board (officially the "Advisory Board for transport companies and other institutions/authorities bearing the revenue risk").

These four bodies decide, among other things, which tasks VRS GmbH has.

The VRS management requires the approval of the advisory board for all matters concerning the transport companies in the VRS. VRS GmbH (represented by the management) has no voting rights on the advisory board, but has the right to propose the content of the decisions to be made (so-called resolutions) and thus help shape them.

The advisory board is made up of transport companies and responsible public transport authorities:

The working groups of the Advisory Board

The Advisory Board has a total of four working groups in which all topics on which the Advisory Board has to make a decision are discussed in advance. The working groups pass on their recommendations on the various topics to the Advisory Board for a decision.

The four working groups are

  • the Marketing, Tariff, Sales and Information Technology working group,
  • the Economic Affairs Working Group
  • the Legal Affairs Working Group and
  • the Strategy Working Group.

How are decisions made in the Advisory Board?

The Advisory Board meets regularly four times per calendar year.

Two weeks before the meeting, the invitation and the meeting documents are published via the digital meeting service (SD.net).

In the case of urgent issues, special meetings are also convened or resolutions are passed by circulation, i.e. votes are not cast at a meeting but in writing by ballot.

The tasks of VRS GmbH are defined as follows in the articles of association:

  • Network tariff/distribution: setting and amending the joint tariff (network tariff), transitional tariffs and transport regulations in accordance with the relevant statutory provisions (currently §39 PBefG) as well as developing a framework for a uniform distribution system; cooperation agreements with other transport and tariff associations or similar institutions in accordance with the relevant statutory provisions
  • Marketing/market research: operation of regional marketing, i.e. market research and sales promotion
  • Revenue sharing: development and further development of revenue sharing regulations, their amendment as well as deviating sharing regulations; issues in connection with the compensation of public services in educational transport in accordance with the relevant legal provisions, fare reimbursement and the relevant statistics laws
  • Information technology: Coordination of the uniform range of services in the interface area as well as the coordination of timetables in accordance with the relevant legal requirements
